1. Introduction

Welcome to Ubaba ("we," "our," "us"). These Terms and Conditions ("Terms") govern your use of our websites located at www.ubaba.net and www.ubaba.pro (the "Platform").

Ubaba is a marketplace designed to connect homeowners, SMEs, and project owners ("Clients") with verified electricians, plumbers, carpenters, and other skilled tradespeople ("Freelancers"). By accessing our Platform, you agree to be bound by these Terms.

2. User Accounts and Vetting

2.1 Registration

To access our services, you must register an account as either a Client or a Freelancer. You agree to provide accurate, current, and complete information during registration.

2.2 Verification and Tiers

• Freelancers: We utilize a vetting process to categorize freelancers into Pro and Standard tiers. While we verify profiles to build trust, you acknowledge that Ubaba is an intermediary and not the employer of the Freelancer.

• Identity: You authorize us to make inquiries, either directly or through third parties, to validate your identity and business credentials.

3. Services Offered

Ubaba provides a platform for the following engagements:

• Freelance Gigs: Clients may purchase predefined services ("Gigs") with fixed prices.

• Custom Projects: Clients may post specific jobs, receive proposals, and collaborate via custom contracts.

• Collaboration: Users agree to use our integrated messaging and milestone management tools to track project progress.

4. Fees and Payments

4.1 For Clients

• Transaction Fees: Ubaba does not charge a commission on the job value. Instead, Clients pay a transaction fee on payments made through the Platform.

• Escrow Service: To ensure security, Client payments are held in Escrow. Funds are released to the Freelancer only when the job is done right or agreed milestones are met.

4.2 For Freelancers (Tradespeople)

• Subscriptions: Freelancers are charged a subscription fee based on the services they require or the tier they select. You retain your earnings from jobs without a percentage commission deduction from Ubaba.

4.3 Currency

Unless otherwise stated, all transactions are denominated in Zambian Kwacha (ZMW).

5. Project Execution and Disputes

5.1 Milestones

For custom projects, Clients and Freelancers should agree on clear milestones. Payments can be released in stages upon the successful completion of these milestones.

5.2 Dispute Resolution

In the event of a disagreement regarding the quality or completion of work, Users agree to utilize Ubaba’s Dispute Resolution process. Ubaba reserves the right to make a final decision on the release of Escrow funds based on the evidence provided by both parties.

6. User Conduct

• Prohibited Content: Users may not post false, misleading, or illegal content.

• Circumvention: Users agree not to circumvent the Platform by paying or receiving payment for services identified on Ubaba outside of the Platform to avoid fees or Escrow protection.

7. Limitation of Liability

• Marketplace Status: Ubaba connects Clients with Freelancers. We are not responsible for the acts, omissions, or quality of work provided by Freelancers, nor for the payments or integrity of Clients.

• Indemnification: You agree to indemnify and hold Ubaba harmless from any claims, damages, or losses arising from your use of the Platform or your interactions with other users.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Zambia, without regard to its conflict of law provisions.
